Retailer Wholesale Agreement Terms *

**Wholesale Agreement** This Wholesale Agreement (the "Agreement") is made and entered into on the date form is submitted and between: StringRise LLC, 2124 Teakwood Lane, Plano, TX 75075 and the Retailer named above. Terms of Sale: 1.1 Products: The Supplier agrees to sell, and the Purchaser (Retailer) agrees to purchase, the products and quantities submitted by the Retailer. 1.2 Pricing: The wholesale prices for the Products are listed on this webpage. Prices are subject to change with 30 days written notice from the Supplier. 1.3 Minimum Order Quantity: The minimum order quantity for each Product is listed in Exhibit A. 1.4 Payment Terms: Payment for all orders shall be made in US Dollars within 7 days of the invoice date. 1.5 Order Placement: Orders can be placed via completion of this form. 1.6 Shipping: The Supplier will ship the Products to the Retailer’s address listed above. Shipping costs will be borne by Retailer and will be calculated and communicated to the Retailer after order placement through the digital invoice sent by email. 1.7 Delivery Time: While StringRise generally ships products within 5 business days, in the case of this Pre-Order, the Retailer agrees to a delivery within 90 days of the order; though the supplier will use all reasonable efforts to deliver the Products prior to 90 days. Delivery times may vary based on availability and shipping destination. 1.8 Returns and Damages: Any claims for damaged or defective Products must be made in writing within 30 days of receipt of the Products. Returns must be authorized in writing by the Supplier. 2. Term and Termination 2.1 Term: This Agreement shall commence on the date the form is submitted and continue until terminated by either party. 2.2 Termination: Either party may terminate this Agreement with 30 days written notice. The Supplier may terminate this Agreement immediately if the Retailer fails to make timely payments or breaches any terms of this Agreement. 3. Confidentiality 3.1 Confidential Information: Both parties agree to keep confidential any proprietary information disclosed during the term of this Agreement. 4. Miscellaneous 4.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of The United States of America. 4.2 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings. 4.3 Amendments: Any amendments to this Agreement must be made in writing and signed by both parties. 4.4 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 4.5 Notices: Any notices required or permitted under this Agreement shall be in writing and sent to one the addresses listed above.
